Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Sume website, authentication flows, messaging experiences, automations, connected integrations, and related software, tools, and services (collectively, the “Services”) made available by Sume, Inc. (“Sume,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.

1. Eligibility

You may use the Services only if you can form a binding contract with Sume and are not barred from using the Services under applicable law.

You must be at least 18 years old to use the Services on your own. If applicable law permits a younger user to use the Services, that user may do so only with the permission and supervision of a parent or legal guardian who agrees to these Terms on the user's behalf. The Services are not directed to children under 13.

2. What Sume Does

Sume is an AI-powered personal assistant product that may:

  • communicate with you through our website and through supported messaging channels, including iMessage and compatible delivery providers;
  • authenticate you with Google or other integrations we support;
  • process your prompts, messages, files, images, and instructions to generate responses and complete tasks;
  • maintain user-specific memory, notes, and workspace state so the assistant can continue conversations over time; and
  • run automations or connected actions you request, including scheduling, browser-assisted workflows, email and calendar actions, and related tools.

Some features are experimental, beta, or subject to change without notice.

3. Accounts, Authentication, and Contact Identity

You may need to provide a phone number, email address, Google account, or other credentials to use parts of the Services. You agree to provide accurate information and to keep it up to date.

You are responsible for:

  • maintaining the security of your devices, messaging accounts, and connected accounts;
  • controlling who can access the phone number, inbox, calendar, or messaging thread associated with your Sume account; and
  • all activity that occurs through your account or linked messaging identity, whether or not you authorized it, unless prohibited by law.

If you believe your account, phone number, or linked integrations have been compromised, you must notify us promptly.

4. Your Content and Permissions

As between you and Sume, you retain ownership of the text, files, images, calendar data, emails, prompts, and other content you submit, connect, or make available through the Services (“Your Content”).

You grant Sume a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, and otherwise process Your Content solely as necessary to:

  • provide, maintain, secure, and improve the Services;
  • generate outputs and complete tasks you request;
  • develop and maintain memory, workflow, and automation state associated with your account;
  • investigate abuse, fraud, safety issues, or legal violations; and
  • comply with law and enforce these Terms.

You represent and warrant that:

  • you have all rights, permissions, and lawful bases needed for us to process Your Content;
  • Your Content, and our use of it as permitted by these Terms, will not violate any law or third-party right; and
  • if you provide us data about another person, you have the right to do so and to instruct us to process it.

5. AI Output and User Responsibility

The Services use generative AI and automated systems. Outputs may be incomplete, incorrect, offensive, outdated, or unsuitable for your situation. You are responsible for reviewing and evaluating any output before you rely on it, send it, publish it, or act on it.

You must not rely on the Services for:

  • emergency communications or life-critical decisions;
  • medical, legal, accounting, tax, employment, or financial advice;
  • high-risk activities where an error could cause death, personal injury, or significant property or environmental damage; or
  • decisions that require professional licensure, regulated judgment, or independent verification.

If the Services draft or send communications, schedule items, or take other actions on your behalf, you remain responsible for the final result and for confirming that the action is appropriate.

6. Acceptable Use

You may not, and may not allow others to, use the Services to:

  • break the law or violate the rights of others;
  • harass, stalk, threaten, abuse, defame, or impersonate another person;
  • submit or transmit malware, spam, phishing content, or unauthorized commercial messages;
  • attempt to gain unauthorized access to systems, accounts, data, tokens, or networks;
  • reverse engineer, copy, scrape, or extract our models, prompts, software, or datasets except as permitted by law;
  • use the Services to build or benchmark a competing model, product, or service;
  • bypass rate limits, safety controls, authentication, access restrictions, or provider restrictions;
  • send highly sensitive personal data that you do not need Sume to process;
  • infringe intellectual property, privacy, publicity, or confidentiality rights; or
  • use the Services in or for embargoed countries, sanctioned parties, or prohibited end uses in violation of export control or sanctions laws.

We may suspend or restrict access if we reasonably believe your use violates these Terms, creates legal exposure, or presents safety, abuse, fraud, or security risk.

7. Messaging and Communications

If you use Sume through iMessage, SMS, RCS, or other supported messaging channels, you consent to receive service-related messages from us through those channels, including onboarding, authentication, support, operational, and product messages.

You are responsible for any message, carrier, or data charges imposed by your messaging provider or mobile carrier.

Delivery may depend on third-party platforms and providers. We do not guarantee message delivery, timing, or availability.

8. Connected Accounts and Third-Party Services

The Services may interoperate with third-party products and providers, including:

  • Google accounts and Google Workspace services;
  • messaging and delivery providers;
  • AI model providers;
  • browser automation, sandbox, and cloud infrastructure providers; and
  • analytics, security, observability, and support providers.

Your use of third-party services is also governed by those third parties' terms and policies. We are not responsible for third-party products, content, availability, or security practices.

If you connect a third-party account, you authorize us to access and use the associated data and functionality as needed to provide the features you request.

9. Beta Features and Service Changes

Sume is still evolving. We may add, remove, suspend, or modify features, workflows, models, integrations, or technical limits at any time.

Features labeled beta, preview, experimental, or similar are offered “as is,” may be incomplete, may change substantially, and may be discontinued without notice.

We are not obligated to maintain any specific feature, compatibility layer, model choice, or integration.

10. Fees

Some portions of the Services may be free during beta, while others may require payment under separate commercial terms, order forms, or pricing pages.

If you purchase paid Services, you agree to pay all applicable fees, taxes, and charges as described at the time of purchase. Unless otherwise stated, fees are non-refundable except as required by law.

11. Intellectual Property

The Services, including our software, interfaces, workflows, visual materials, trademarks, documentation, and underlying technology, are owned by Sume or its licensors and are protected by intellectual property and other laws.

Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.

If you provide suggestions, ideas, or feedback, we may use them without restriction or compensation.

12. Suspension and Termination

You may stop using the Services at any time.

We may suspend, disable, or terminate your access immediately if:

  • you breach these Terms;
  • we believe your use creates risk to Sume, our users, or third parties;
  • we are required to do so by law or by a third-party provider; or
  • we discontinue the Services or a relevant feature.

Sections that by their nature should survive termination will survive, including sections on ownership, disclaimers, limitations of liability, indemnity, and dispute resolution.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, and otherwise process personal information.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUME AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR RELIABILITY.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL:

  • BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • DELIVER OR COMPLETE ANY SPECIFIC TASK, OUTCOME, OR BUSINESS RESULT;
  • BE COMPATIBLE WITH ANY PARTICULAR DEVICE, MESSAGING CHANNEL, OR THIRD-PARTY PROVIDER;
  • PRESERVE ANY DATA WITHOUT LOSS; OR
  • PRODUCE CORRECT, COMPLETE, OR LEGALLY COMPLIANT OUTPUT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SUME AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SUME FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Sume and its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your Content;
  • your use or misuse of the Services;
  • your violation of these Terms; or
  • your violation of any law or third-party right.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules.

Before filing a claim, you and Sume agree to try to resolve the dispute informally by contacting the other party and describing the issue in reasonable detail. If we cannot resolve the dispute within 30 days after notice, either party may bring the claim exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue there, except where applicable consumer law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms, update the “Last updated” date, and may provide additional notice where required by law.

By continuing to use the Services after the revised Terms become effective, you agree to the updated Terms.
